Election of Directors

The Association holds an election of Directors (members of the Board) every year in January. Directors are elected by the Membership of the Association (unit Owners) by secret ballot at each Annual Meeting of the Owners, according to the By-Laws and the procedures contained in the Election and Voting Rules of the Association.

Directors are elected for two-year terms. In even years, four seats come up for election, and the other three seats in odd years. The Association must complete several steps prior to each election of Directors, to include solicitation of candidates. This generally starts the prior October. After the election of Directors is complete, the Board of Directors will elect its Officers. The Membership may not nominate or vote on the appointment of Officers.

Other Elections

If a proposal is put before the Membership to increase dues, impose a special assessment, amend the CC&Rs or By-Laws, remove a Director from the Board, veto a proposed operating rule, or grant exclusive use of a portion of the common area, the vote on the motion must be held by secret ballot, and is thus considered an election. The process will follow the Election and Voting Rules.

Other motions by the Membership, such as adding or removing amenities, recording an easement against common property, or anything else not specifically listed as requiring a secret ballot, may be decided upon by open vote at any duly called Member Meeting. Actions taken by open vote at Member Meetings are subject to notice and quorum requirements and rules of order to be valid, but the Election and Voting Rules do not apply.
